Article 1 - Definitions

1.1. 4planning.co.uk;
The provider of the online scheduling system, available via the website, which provides support for organising events, managing members and associations, distributing news, conducting polls and mailings, facilitating private and group chats, integrating events into personal calendars, managing and uploading documents, offering multilingual interfaces and setting up its own house style and colour palette.

1.2. User
Any natural or legal person who accesses and uses the services of 4planning.nl;.

1.3. Agreement
Any written or digital agreement between 4planning.co.uk; and the user regarding the use of the services offered.

1.4. Services
All functionalities and services offered through 4planning.co.uk; as defined above.

Article 2 - Applicability and entry into force

2.1. These general terms and conditions apply to every offer, quotation, agreement and any use of the services of 4planning.co.uk; by the user, unless expressly agreed otherwise in writing.

2.2. Any additional or differing terms and conditions of the user are expressly rejected by 4planning.nl; unless 4planning.nl; agrees to this in writing.

2.3. These terms and conditions come into force when the user first uses the services of 4planning.co.uk; or enters into the agreement.

2.4. If one or more provisions in these terms and conditions are declared fully or partially void or unusable, the other provisions shall remain in full force. In that case, the parties shall consult in order to agree on a replacement provision, which approaches the intention of the original provision as much as possible.

Article 3 - Access and Use of the System

3.1 4planning.co.uk; grants the user a non-exclusive, non-transferable right to use the system in accordance with the agreed licence and these terms and conditions.

3.2. Use of the system is exclusively for scheduling events, managing members and associations, distributing news, polls and mailings, conducting private and group chats, adding events to a personal calendar, managing and uploading documents, and setting up multilingualism and own house style.

3.3. The user is responsible for keeping login details confidential and must ensure careful use of the system. Misuse or unauthorised sharing of login details may result in suspension or termination of access.

Article 4 - Offers, agreements and amendments

4.1. All offers by 4planning.co.uk; are non-binding, unless a deadline or binding nature is explicitly stated in the offer.

4.2. An agreement comes into effect as soon as the user has accepted the offer or registration for the use of the system in writing or digitally.

4.3. If the contract is established on the basis of information provided by the user, the user must ensure that this information is complete and accurate. 4planning.nl; reserves the right to amend or cancel the agreement if the information provided turns out to be faulty.

4.4. Amendments to the agreement may be mutually agreed in writing by both parties.

Article 5 - Services, Updates and Maintenance

5.1. 4planning.nl; strives to make the services available continuously and to the best of its ability. Nevertheless, no absolute availability is guaranteed.

5.2. 4planning.co.uk; reserves the right to carry out maintenance work, updates or modifications without prior notice (if necessary) that may affect the operation of the system.

5.3. In the event of faults or technical problems, 4planning.co.uk; will endeavour to remedy them as soon as possible. However, no guarantee is given that the fault will be solved within a specific time frame.

Article 6 - Prices, payment and invoicing

6.1. The prices charged for the services shall be set out in the relevant quotation or agreement and are exclusive of any applicable taxes, unless otherwise stated.

6.2. Payment shall be made within the term specified in the contract. If this term is exceeded, the user shall automatically be in default, after which statutory interest and collection costs may be charged.

6.3. 4planning.co.uk; reserves the right to suspend access to the system in the event of prolonged or repeated payment arrears until the overdue amounts are paid in full.

Article 7 - Liability

7.1. 4planning.co.uk; provides the services with the care and skill that may be expected of a professional service provider, but does not guarantee that the system will function without error or interruption at all times.

7.2. The liability of 4planning.nl; for direct damage is limited to a maximum of the amount of the invoice value arising from the contract in the case in question, unless there is intent or gross negligence.

7.3. 4planning.nl; shall never be liable for indirect damages, including consequential damages, lost profits, missed savings or damages resulting from business interruption.

7.4. The user indemnifies 4planning.co.uk; from all third party claims arising from incorrect or incomplete data provided by the user or failure to comply with these terms and conditions.

Article 8 - Intellectual Property

8.1. All intellectual property rights relating to the software, documentation, designs, and other materials provided by 4planning.nl; shall remain the sole property of 4planning.nl; or its licensors.

8.2. The user is not permitted to reproduce, disclose or distribute any of the software, documentation or other materials in whole or in part without the prior written consent of 4planning.nl;.

Article 9 - Force majeure

9.1. In case of force majeure - including but not limited to technical failures, network problems, power failure, natural disasters, war, labour disputes or other unforeseen circumstances - the obligations of 4planning.nl; will be suspended.

9.2. If the force majeure situation continues for more than 30 days, both 4planning.co.uk; and the user have the right to terminate the contract without compensation.

Article 10 - Modification of the General Terms and Conditions

10.1. 4planning.co.uk; reserves the right to amend these terms and conditions. The amended terms and conditions will be announced to the user via the website and/or by e-mail.

10.2. If the user does not object in writing or digitally within 14 days of the publication of the amended terms and conditions, it is assumed that the amended terms and conditions are accepted by the user.

Article 11 - Duration and Termination of the Agreement

11.1. The agreement is entered into for the duration stated in the agreement or for an indefinite period, if not otherwise agreed.

11.2 Both 4planning.nl; and the user may terminate the agreement in accordance with the notice period agreed in the agreement. In case of early termination, services already rendered will be charged pro rata.

11.3 4planning.co.uk; reserves the right to terminate the contract with immediate effect in case of serious or repeated breach of these terms and conditions by the user.

Article 12 - Applicable law and dispute resolution

12.1. All legal relationships to which 4planning.nl; is a party shall be governed exclusively by Dutch law, even if the performance takes place wholly or partly abroad.

12.2. Disputes arising from or related to the agreement shall be submitted exclusively to the competent court in the district where 4planning.nl; is located, unless mandatory law requires otherwise.

12.3. In the first instance, the parties will attempt to resolve disputes by mutual agreement before initiating legal proceedings.

Article 13 - Final provisions

13.1. If one or more provisions of these general terms and conditions prove to be wholly or partly void, the remaining provisions shall remain in full force. In that case, the parties will consult to agree on a replacement provision that approaches the original intention as much as possible.

13.2. In situations not explicitly covered in these terms and conditions, 4planning.co.uk; will pursue a reasonable and equitable solution in line with customary business practices and the user's reasonable expectations.

13.3. By using the services of 4planning.co.uk; the user agrees to these terms and conditions.

Date of entry into force: 01-01-2025
